Who we are

Landmark Filings (“Landmark Filings”, “we”, “us”) is a trade name of Foxx Consulting LLC, a North Carolina limited liability company. By using this website or placing an order, you agree to these Terms.

What we do

We prepare and file business formation documents, such as Articles of Organization, with U.S. state filing offices based on the information you give us. We are a document preparation and filing service. We are not a law firm, we do not provide legal, tax, accounting or financial advice, and no attorney-client relationship is created. General information on this website is not advice for your situation. If you need advice, consult a licensed attorney or accountant.

Your information and your authorization

You are responsible for the accuracy of everything you submit, including the company name, addresses, registered agent, owners and management. By placing an order, you authorize Landmark Filings to prepare your documents and to sign and file them with the state on your behalf as organizer or authorized representative, and you confirm that you have the authority to form the company and to provide the information of every person listed.

Registered agent

Every LLC must have a registered agent with a street address in the state of formation. You must provide a registered agent who has agreed to serve. Landmark Filings does not currently act as registered agent.

Fees

Your total includes our service fee, the state filing fee and any optional service you select. The state filing fee is set by the state and is paid to the state on your behalf. If a state changes its fee before we file, we will contact you before charging any difference, or refund the difference if the fee went down.

Company name

We check the availability of your company name before you pay, but only the state can approve a name. If the state rejects your name, we will ask you for a new name and refile at no additional service fee. Any additional fee charged by the state is your responsibility.

Cancellations and refunds

You may cancel for a full refund at any time before we submit your documents to the state. After submission, our service fee is not refundable and state fees are refunded only if and as the state refunds them. If we are unable to file your order for reasons within our control, we will refund our service fee.

Processing times

Processing times are set by each state and can change. We do not guarantee when a state will approve a filing.

EIN service

If you order an EIN, you authorize us to apply to the Internal Revenue Service on behalf of your company as a third-party designee. We may need information about the company's responsible party, which we collect through a secure channel and do not store after the application. IRS processing times and eligibility rules apply.

After formation

You are responsible for your company's ongoing obligations, including annual or biennial reports, taxes, business licenses, newspaper publication requirements where they apply (for example New York, Arizona and Nebraska), and keeping your registered agent and records up to date.

Limitation of liability

To the extent permitted by law, Landmark Filings is not liable for indirect, incidental or consequential damages, and our total liability for any order is limited to the service fees you paid us for that order.

Communications

You agree that we may contact you by email, phone or messaging apps about your order.

Governing law

These Terms are governed by the laws of the State of North Carolina. If any part of these Terms is found unenforceable, the rest remains in effect.

Language

These Terms are provided in English, Spanish and Portuguese. If there is a difference between the versions, the English version controls.
